Welcome to Clock Out (the "App"), a mobile application developed and operated by TeamKay LLC ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of the App, including its content, features, and functionality.

By using or accessing the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any portion of these Terms, you should not use the App.

The purpose of these Terms is to outline your rights and responsibilities as a user ("you") and to define the conditions under which the App is offered. Since Clock Out does not require account creation and stores data locally on your device, you are solely responsible for how you use and manage the App.

Your continued use of the App constitutes your acceptance of these Terms, including any updates we may make. If you have any questions about these Terms, please contact us before continuing to use the App.

User Responsibilities

By using Clock Out, you agree to use the App lawfully and respectfully, in a manner consistent with these Terms. You are solely responsible for any actions taken through your device while using the App.

Compliance with Laws

You agree to use the App in accordance with all applicable local, national, and international laws, regulations, and industry standards relevant to your use. It is your responsibility to ensure that your use of Clock Out does not violate any laws in your jurisdiction.

Intellectual Property

Ownership of the App and Its Content

Clock Out and all of its original content, features, and functionality are the exclusive property of TeamKay LLC and its licensors. This includes, but is not limited to, the software code, user interface design, logos, trademarks, text, graphics, images, and all other materials created for or by us in connection with the App.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal, non-commercial use only. This license does not convey any ownership rights or intellectual property interest in the App or any of its content.

Except as expressly permitted by these Terms or with our prior written consent, you may not reproduce, distribute, modify, adapt, create derivative works from, publicly display, perform, republish, download, store, or transmit any part of the App or its content.

User-Generated Content

Clock Out allows you to create and store content—such as text notes or labels—locally on your device. This content is intended for your personal use only and is not published, shared, or transmitted through the App or to any external servers.

You retain full ownership and control of any content you create within the App. Since we do not collect, store, or process your content remotely, we do not access, use, or monitor any user-generated data.

You are solely responsible for ensuring that any content you create within the App does not violate applicable laws or the rights of others. If you choose to share content outside of the App (e.g., through screenshots), you do so at your own discretion.

Privacy Policy Reference

Your privacy is important to us. Clock Out is designed to operate without collecting personal information or storing your data on external servers. All content remains on your device, giving you full control over your information.

Payment Terms

Subscription and Billing

Clock Out offers access to premium features through a subscription model. Subscriptions may be available on a monthly, yearly, or other periodic basis, with specific pricing and details displayed in the App Store or Google Play Store. By subscribing, you agree to pay the subscription fees for the plan you select.

No Refund Policy

Except where required by law, all subscription payments are non-refundable. However, depending on your app store's policies, you may be eligible for a full refund if you cancel within 48 hours of your initial subscription. After this grace period, all sales are final, and you will retain access to premium features for the remainder of the current billing cycle, even if you cancel early.

Subscription Cancellation and Renewal

You may cancel your subscription at any time via your App Store or Google Play Store account settings. Cancellation will stop future billing, but your premium access will remain active until the end of the current subscription term.

In the event of a failed renewal (e.g., due to payment issues or cancellation), your access to premium features will automatically revert to the free version of the App. No data will be deleted, as all information is stored locally on your device.

Data Retention and Deletion

Clock Out does not store your data on external servers. All content you create remains on your device, regardless of your subscription status. Canceling or failing to renew your subscription will not result in data loss. However, certain premium features may no longer be available once the subscription ends.

Updates to Payment Terms

We reserve the right to update pricing or change subscription terms at any time. Any adjustments will be clearly communicated in the App Store or Google Play listing and will apply to future renewals only. Active subscriptions will retain their current pricing for the duration of the billing period.

Disclaimers and Limitation of Liability

Disclaimers of Warranties

The App is provided "as is" and "as available." While we strive to deliver a high-quality and reliable experience, we do not guarantee that the App will meet all your specific needs, operate without interruptions, or be entirely error-free.

By using the App, you acknowledge and accept that some risks may exist—such as unexpected bugs, device-specific issues, or limitations in compatibility—and that you use the App at your own discretion and risk.

Limitation of Liability

To the maximum extent permitted by applicable law, TeamKay LLC and its affiliates, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use—or inability to use—the App. This includes, but is not limited to, data loss, device malfunctions, or usage interruptions.

Our total liability to you, for any and all claims, shall not exceed the total amount you have paid for your use of the App, if any.

Third-Party Services

Clock Out currently does not rely on third-party services for cloud storage, user authentication, or background data processing. All user-generated content remains on your device, and any service limitations or disruptions are tied solely to your local environment.

As such, we disclaim liability for any loss or damage resulting from your own device's performance, your operating system updates, or other third-party software interactions that are outside our control.

Scope of Limitations

These limitations apply regardless of the form of action—whether based on contract, tort, negligence, strict liability, or otherwise—and even if TeamKay LLC has been advised of the possibility of such damages.

Termination

We reserve the right to suspend or discontinue your access to the App at any time, with or without notice, if we believe you have violated these Terms or in response to legal, technical, or operational circumstances beyond our control.

Since Clock Out does not require user accounts or store data on external servers, no server-side deletion or retention of your data applies. All content you create is stored locally on your device, and you may delete the App at any time to fully discontinue your use.

If you choose to stop using the App:

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the State of California, United States, without regard to its conflict of law rules.

Any dispute, claim, or legal proceeding arising out of or relating to your use of the App or these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.

You are also responsible for ensuring that your use of the App complies with the local laws, regulations, and industry standards applicable in your place of residence. In the event of a legal conflict between your local laws and the laws of California, the laws of California shall apply solely for the purpose of resolving any disputes under these Terms.

Dispute Resolution

We aim to resolve any concerns you may have about your experience with Clock Out. If a dispute arises relating to these Terms or your use of the App, we encourage you to contact us first at info@teamkapps.com to seek a good-faith, informal resolution.

Binding Arbitration

If a resolution cannot be reached informally within a reasonable time, both you and TeamKay LLC agree to resolve any dispute through binding arbitration, rather than in court. This means:

Either party may still bring qualifying claims in small claims court, as permitted by law.

Arbitration Process

Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA) and administered by a single arbitrator. The arbitration will take place in California, unless both parties agree to a different location, and will be conducted in English.

Costs and Fees

Each party is responsible for their own legal costs and fees associated with the arbitration, unless otherwise determined by the arbitrator.

Exceptions

This arbitration agreement does not prevent either party from seeking injunctive or equitable relief in court for matters related to intellectual property infringement or unauthorized access, use, or interference with the App's security.

Changes to Terms

We may update or modify these Terms from time to time to reflect changes in the App's features, legal requirements, or business practices.

If significant changes are made, we will take reasonable steps to inform you—such as by displaying a notice within the App the next time you open it. We do not collect email addresses, so notifications will be delivered in-app only.

It is your responsibility to review the updated Terms when presented. Your continued use of the App after being informed of the changes constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue use of the App.
